HALWorld Software License and Subscription Agreement

Effective Date: September 11, 2026

Pre-launch staging agreement.
This agreement is published on the staging site for product and legal review before public launch.

This Software License and Subscription Agreement (“Agreement”) is between HALbot Project, the provider of HALWorld (“Licensor,” “we,” “us,” or “our”), and the individual or organization that downloads, installs, registers, accesses, or purchases HALWorld (“you” or “Licensee”).

By accepting this Agreement, installing or using HALWorld, or purchasing a HALWorld subscription, you agree to these terms.

If you are accepting this Agreement for an organization, you represent that you have authority to bind that organization.

Subscription Summary

HALWorld may be downloaded and used for an initial 14-day free trial.

No credit card or other payment method is required to begin the free trial.

The free trial does not automatically convert into a paid subscription.

When the 14-day trial ends:

• you will not be charged automatically;
• your trial license may expire or HALWorld may stop providing licensed functionality; and
• you must affirmatively purchase a paid license if you want to continue using HALWorld.

A paid HALWorld subscription currently costs the price clearly displayed at the time of purchase, or the price clearly displayed when you purchase it.

Once purchased, the paid subscription renews monthly and your selected payment method will be charged automatically until you cancel.

You may cancel your paid subscription at any time using the online cancellation mechanism provided with your HALWorld account or by another cancellation method we clearly provide.

Cancellation stops future renewals. Unless required otherwise by law, cancellation does not retroactively refund a billing period that has already begun.

1. What HALWorld Is

HALWorld is a software environment designed to help people work with artificial intelligence assistants, connected capabilities, continuity systems, and related tools.

HALWorld may allow AI assistants to work with you, retain or retrieve authorized context, interact with other AI assistants, and access capabilities or external services that you choose to connect.

HALWorld is evolving software. Features may change, improve, be replaced, or be discontinued over time.

2. License Grant

Subject to this Agreement and your applicable trial or paid license, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use HALWorld for your own personal, professional, or internal business purposes.

The number of permitted users, devices, installations, or environments may be specified by the particular HALWorld plan, order, license key, or purchasing page associated with your subscription.

HALWorld is licensed, not sold.

You receive the right to use HALWorld under this Agreement. You do not acquire ownership of HALWorld or its underlying source code, technology, trademarks, documentation, or other intellectual property.

3. The 14-Day Free Trial

When you register an eligible HALWorld installation, Licensor may issue a trial license allowing you to use HALWorld for 14 days.

The trial begins when the trial license is activated or as otherwise clearly shown during registration.

No payment information is required to begin the trial.

The free trial ends automatically after 14 days unless Licensor expressly extends it.

Doing nothing does not create a paid subscription.

At the end of the trial, HALWorld may disable licensed functions, request activation of a paid license, or otherwise limit continued use.

To continue using features that require a paid license, you must separately and affirmatively purchase a subscription.

Licensor may limit repeated trials for the same person, organization, installation, device, or substantially equivalent environment where reasonably necessary to prevent abuse.

4. Paid Subscription

A paid HALWorld subscription begins only when you affirmatively choose to purchase one.

Before charging you, we will display the applicable price and recurring nature of the subscription and ask you to affirmatively authorize the purchase.

Your subscription will continue on a month-to-month basis until canceled.

By purchasing a monthly subscription, you authorize Licensor and its payment processor to charge the applicable monthly subscription fee and any legally required taxes to your selected payment method on each renewal date until you cancel.

We will provide confirmation of your subscription and information explaining how to cancel it in a form you can retain.

5. Cancellation

You may cancel a paid HALWorld subscription at any time.

If you purchased the subscription online, we will provide an online method for cancellation.

We will not intentionally require unnecessary steps designed to obstruct or delay cancellation.

Cancellation prevents subsequent recurring charges.

Unless applicable law requires otherwise, your paid license may remain active until the end of the billing period for which you have already paid.

If required by applicable law, additional cancellation or refund rights will apply.

6. Price Changes

We may change HALWorld subscription prices from time to time.

A price change will not be applied to an existing recurring subscription without the notice and consent required by applicable law.

Where legally required, we will provide advance notice before a change takes effect and explain how you may cancel before being charged the new price.

7. Registration and License Credentials

HALWorld may require registration, an installation identity, license key, activation credential, account, or similar mechanism.

You agree to provide accurate information reasonably required to register and license HALWorld.

You are responsible for protecting credentials issued to you.

You may not knowingly sell, publish, share, duplicate, or distribute a license credential for use outside the scope of the license you purchased.

If you believe a license credential has been compromised, contact us so that it can be replaced or disabled.

8. Permitted Use

You may use HALWorld for lawful purposes consistent with this Agreement.

Unless Licensor expressly gives you permission, you may not:

• resell, sublicense, rent, lease, or commercially distribute HALWorld itself;
• bypass or intentionally defeat HALWorld licensing or activation mechanisms;
• remove proprietary notices;
• use HALWorld to gain unauthorized access to another system, account, network, or service;
• use HALWorld in violation of applicable law;
• intentionally use HALWorld to distribute malware or conduct abusive or destructive activity; or
• reverse engineer, decompile, or disassemble HALWorld except to the extent such restrictions are prohibited by applicable law.

Nothing in this Agreement restricts rights that applicable law does not permit us to restrict.

9. AI Systems and AI-Generated Material

HALWorld may interact with artificial intelligence models and services.

Artificial intelligence systems can make mistakes.

Their responses may be incomplete, inaccurate, outdated, unexpected, or inappropriate for a particular purpose.

You remain responsible for evaluating AI-generated material before relying on it for important decisions or actions.

HALWorld should not be treated as a substitute for qualified professional judgment in areas such as law, medicine, accounting, safety, security, or other high-consequence activities.

Where HALWorld permits an AI assistant to perform an action, HALWorld may provide safeguards, authority boundaries, confirmation mechanisms, logs, or other controls. These mechanisms reduce risk but cannot guarantee that every action will be correct.

The Carbon remains in charge.

10. Connected and Third-Party Services

HALWorld may connect to services provided by other companies, including AI model providers, email services, cloud platforms, APIs, websites, plugins, connectors, and other software.

Those services are not necessarily provided or controlled by Licensor.

Your use of a third-party service may be governed by separate terms between you and that provider.

HALWorld does not grant you rights to use a third-party service that you do not otherwise possess.

Charges imposed by third-party services are not included in the HALWorld subscription unless we expressly state otherwise.

We are not responsible for a third-party service becoming unavailable, changing its API, altering its pricing, suspending an account, or changing its terms.

11. Your Content and Information

You retain ownership of information, files, prompts, documents, messages, instructions, and other content that you provide to HALWorld (“Your Content”).

You grant Licensor only the rights reasonably necessary to process Your Content for the purpose of operating, maintaining, securing, supporting, and improving the HALWorld service you have requested.

You represent that you have the rights necessary to provide Your Content and to authorize the uses required for HALWorld to process it.

You remain responsible for determining what information you choose to provide to HALWorld or to connected third-party services.

Our handling of personal information is also subject to our applicable Privacy Policy.

12. HALWorld Data, History, and Continuity

Some HALWorld features may preserve operational history, conversation information, task information, evidence, state, configuration, logs, or other continuity data.

The availability and retention of such information may depend on your configuration, connected services, subscription status, product version, storage environment, or other technical factors.

HALWorld is designed to improve continuity, but Licensor does not guarantee that any particular history, conversation, file, record, or state will always be retained or recoverable.

You should maintain appropriate independent backups of information that is important to you.

13. Updates and Changes to HALWorld

We may provide updates, patches, improvements, new features, compatibility changes, security changes, or replacement components.

Some updates may be required for continued operation, security, compatibility, or licensing.

We may modify or discontinue a feature where reasonably necessary.

We will attempt to avoid unnecessarily disrupting customers, but we do not promise that every feature or integration will remain available indefinitely.

14. Intellectual Property

HALWorld and its associated software, documentation, designs, branding, trademarks, code, systems, and other proprietary material are owned by Licensor or its licensors.

This Agreement does not transfer those rights to you.

Third-party and open-source components included with HALWorld remain subject to their respective licenses.

15. Feedback

If you voluntarily provide ideas, suggestions, bug reports, recommendations, or other feedback about HALWorld, you permit us to use that feedback to develop and improve HALWorld without an obligation to compensate you.

You retain ownership of any underlying material that you already owned before providing the feedback.

16. Support

We may provide support, documentation, updates, community assistance, or other help associated with HALWorld.

The level and availability of support may depend on your subscription or the particular HALWorld offering you purchased.

Unless expressly included in a paid plan, no specific response or resolution time is guaranteed.

17. Suspension

We may temporarily suspend access to HALWorld or a license where reasonably necessary to:

• protect HALWorld or other users from a security threat;
• investigate suspected license fraud or abuse;
• comply with law or a valid legal order;
• prevent material misuse of the service; or
• address a material breach of this Agreement.

Where reasonably practical, we will attempt to provide notice and an opportunity to resolve the issue.

18. Termination

You may terminate this Agreement by discontinuing use of HALWorld and canceling any paid subscription.

We may terminate your license if you materially breach this Agreement and fail to correct the breach after reasonable notice where correction is appropriate.

When a trial or paid license expires or terminates, HALWorld may cease providing licensed functionality.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and payment obligations already incurred — will survive.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALWORLD IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT HALWORLD WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR COMPATIBLE WITH EVERY DEVICE, SERVICE, MODEL, OPERATING SYSTEM, WEBSITE, API, OR THIRD-PARTY PRODUCT.

WE DO NOT GUARANTEE THE ACCURACY OF AI-GENERATED OUTPUT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO HALWORLD.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO HALWORLD OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO LICENSOR FOR HALWORLD DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
2. US $100.

These limitations do not apply where applicable law prohibits them.

Nothing in this Agreement limits liability that cannot legally be limited.

21. Your Responsibility for Misuse

You are responsible for your unlawful use of HALWorld and for unlawful content or instructions that you intentionally provide through it.

To the extent permitted by law, you agree to defend or reimburse Licensor for third-party claims arising directly from your intentional unlawful use of HALWorld, infringement caused by Your Content, or a material violation of this Agreement.

This section does not require you to indemnify Licensor for Licensor's own negligence, misconduct, or violation of law.

22. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any consumer rights that cannot legally be waived, disputes relating to this Agreement may be brought in the state or federal courts located in Santa Clara County, California, and the parties consent to jurisdiction there.

Nothing in this section deprives a consumer of mandatory protections or remedies provided by the law that applies to that consumer.

23. Changes to This Agreement

We may revise this Agreement from time to time.

If a change materially affects an existing paid subscription or your rights, we will provide notice as required by applicable law before that change takes effect.

Changes will not retroactively eliminate rights or obligations that applicable law does not permit us to alter.

The current version and effective date will be made available with HALWorld or on the HALWorld website.

24. Entire Agreement

This Agreement, together with any applicable order, pricing terms, Privacy Policy, and other terms expressly incorporated into it, forms the agreement between you and Licensor concerning your use of HALWorld.

If part of this Agreement is held unenforceable, the remainder will continue in effect to the extent permitted by law.

A failure to enforce a provision on one occasion does not waive the right to enforce it later.

You may not assign this Agreement without Licensor's consent, except where applicable law gives you that right.

Licensor may assign this Agreement as part of a merger, acquisition, corporate reorganization, or transfer of the HALWorld business.

Acceptance

By selecting “I Agree,” “Accept,” “Register,” “Purchase,” or a substantially similar acceptance control associated with this Agreement, or by installing or using HALWorld after being presented with these terms, you acknowledge that you have read and agree to this Agreement.

For a paid subscription, your acceptance of this Agreement does not by itself authorize recurring billing. Recurring billing begins only after you separately and affirmatively purchase the paid HALWorld subscription.
